Clarience Technologies acquires ESG

Clarience Technologies have announced the acquisition of ECCO Safety Group (ESG), a supplier of audible warning equipment and emergency lighting for commercial and emergency vehicles.

FDIC International postponed until August 2021

Global fire and rescue convention FDIC International has been postponed until August 2021 in response to the ongoing impact of the COVID 19 pandemic.

The show was scheduled to take place between April 19-24, but due to the advice given by the State of Indiana’s Government, as well as public health advisory and possible travel restrictions, it will now be held on August 19-24.

“This was a difficult decision but the safety and wellbeing of our attendees, exhibitors, partners, and staff remain the most important priority for us.  We have put thoughtful consideration into our next steps, including open and honest discussions with our partners, exhibitors and the firefighter community. With the rollout of the new vaccines there is more confidence that it will be safer to come together in August,” said Eric Schlett, Senior Vice President, Clarion Fire & Rescue.

FDIC is the latest show that has been forced to postpone due to the pandemic. In December, global convention INTERSCHUTZ announced that it has been delayed until June 2022.

FEMA continue to provide housing for families affected by Oregon wildfires

The U.S Federal Emergency Management Agency (FEMA) are to begin construction of housing for qualified families affected by the Linn and Marion Wildfires. Once completed, the new site in Mill City is expected to hold up to 16 temporary housing units.

In addition to Linn and Marion counties, the Agencys Direct Housing mission is in the process of providing transportable temporary housing to qualified disaster survivors in Jackson and Lincoln counties. To date, 47 Jackson County families have been placed in temporary housing units in commercial parks and at one group site – similar to the one now under construction in Mill City in Linn and Marion counties.

Currently, 250 survivor families are approved to receive FEMA Direct Temporary Housing in the four counties. The number of qualified families has decreased over time as many households have located alternate temporary or permanent housing on their own.

To the degree possible, FEMA works to keep survivors as close as possible to their communities, schools and places of worship. Direct Temporary Housing is provided to survivors for up to 18 months from the date of the disaster declaration (until March 2022).

Disaster survivors affected by the Oregon wildfires and straight-line winds can also get personalised mitigation advice to repair and rebuild safer and stronger from a FEMA Mitigation Specialist.

NVFC release Psychologically Healthy Fire Departments (PHFD) initiative

The National Volunteer Fire Council (NVFC), in partnership with the American Psychological Association (APA) and the Firefighter Behavioral Health Alliance, have launched the Psychologically Healthy Fire Departments (PHFD) initiative to support firefighters and EMS providers and create healthy, successful departments.

The Psychologically Healthy Fire Departments: Implementation Toolkit delves into six categories leaders should focus on to support well-being and high performance: member involvement, health and safety, member growth and development, work-life balance, member recognition, and effective communication. The toolkit examines each category along with specific actions that can be taken, special issues to consider, case studies from successful departments, and additional resources.

“A department that supports its members and is committed to fostering a positive work environment has a healthier, engaged, and more successful workforce,” said NVFC Chair Steve Hirsch. “This implementation toolkit will walk fire department leaders through the steps and considerations necessary to make sure they have a psychologically healthy fire department that benefits the individual, the organisation, and the community.”

The PHFD: Implementation Toolkit is based on APA’s Psychologically Healthy Workplace model and was adapted to fit the unique characteristics of the fire service. Fire service leaders who understand the link between the well-being of their members and the performance and success of the department take comprehensive steps to create a positive environment that supports and promotes good health and optimal functioning.

“Psychological research shows workplaces that promote good mental health and work-life balance are associated with increased productivity, reduced absenteeism, and higher job satisfaction,” said APA CEO Arthur C. Evans Jr., PhD. “We commend the National Volunteer Fire Council for creating this toolkit and distributing it to its members.”

The PHFD initiative is supported by a Fire Prevention & Safety Grant from the Federal Emergency Management Agency. In addition to the implementation toolkit, resources include a Directory of Behavioral Health Professionals that lists local mental health providers equipped and ready to help firefighters, EMS providers, dispatchers, rescue workers, and their families. The directory is updated monthly as new providers are added and can be viewed or downloaded on the PHFD webpage. A training course to supplement the PHFD: Implementation Toolkit is also being developed.

Teledyne Technologies acquire FLIR Systems for $8 billion

Teledyne Technologies Incorporated and FLIR Systems, Inc. have jointly announced that they have entered into a definitive agreement under which Teledyne will acquire FLIR in a cash and stock transaction valued at approximately $8.0 billion.

Under the terms of the agreement, FLIR stockholders will receive $28.00 per share in cash and 0.0718 shares of Teledyne common stock for each FLIR share, which implies a total purchase price of $56.00 per FLIR share based on Teledyne’s 5-day volume weighted average price as of December 31, 2020.  

As part of the transaction, Teledyne has arranged a $4.5 billion 364-day credit commitment to fund the transaction and refinance certain existing debt.  Teledyne expects to fund the transaction with permanent financing prior to closing. 

Teledyne expects the acquisition to be immediately accretive to earnings, excluding transaction costs and intangible asset amortization, and accretive to GAAP earnings in the first full calendar year following the acquisition.

“At the core of both our companies is proprietary sensor technologies.  Our business models are also similar: we each provide sensors, cameras and sensor systems to our customers.  However, our technologies and products are uniquely complementary with minimal overlap, having imaging sensors based on different semiconductor technologies for different wavelengths,” said Robert Mehrabian, Executive Chairman of Teledyne.

Approvals and Timing

The transaction, which has been approved by the boards of directors of both companies, is expected to close in the middle of 2021 subject to the receipt of required regulatory approvals, including expiration or termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act, approvals of Teledyne and FLIR stockholders and other customary closing conditions.

Evercore is acting as exclusive financial advisor and McGuireWoods LLP is acting as legal advisor in connection with the transaction.  Goldman Sachs & Co. LLC is acting as exclusive financial advisor and Hogan Lovells US LLP is acting as legal advisor to FLIR in connection with the transaction.  Teledyne has entered into a 364-day senior unsecured bridge facility credit agreement with Bank of America as sole lead arranger and administrative agent.

First, a pool of candidates was created out of the 2,000 largest public companies in the United States by revenue. Banks and insurance companies were measured by total assets of more than $50 billion. Companies with a corporate sustainability or corporate citizen report were screened and analysed.

The analysis included reviewing publicly available performance data in the environmental, social and corporate governance categories. Additionally, a survey of 7,500 people was conducted asking perceptions about companies related to corporate social responsibility. All elements were weighted to produce a final score.

Oshkosh to finalise acqusition of Pratt Miller in 2021

Oshkosh Corporation , a leading innovator of mission-critical vehicles and essential equipment, has announced that it has entered into a denitive agreement to acquire Pratt Miller.

The company specialise in advanced engineering, technology and innovation across the motorsport and multiple ground vehicle markets, for a cash-free, debt-free purchase price of $115 million. Additional terms of the transaction were not disclosed.
