The Building Engineering Services Association (BESA) has reported that a UK court has ruled an exchange of WhatsApp messages was sufficient to form a legally binding construction contract.

The Technology and Construction Court delivered its judgement in Jaevee Homes Limited v Mr Steve Fincham (trading as Fincham Demolition) [2025] EWHC 942 (TCC), confirming that informal digital communications can establish contractual relationships if they include the required elements of contract law.

According to BESA, this ruling reaffirms existing principles but signals the increasing importance of clarity when using informal channels like messaging apps in construction projects.

The judgement follows a dispute between Norfolk-based developers Jaevee Homes and Fincham Demolition over demolition work at a former nightclub in Norwich, which commenced without a signed contract but was preceded by a WhatsApp exchange confirming the job.

The ruling upheld an adjudicator’s earlier decision, confirming that the informal messages constituted a valid agreement and that the payment claims submitted afterward were enforceable under that contract.

Background of the demolition dispute in Norwich

BESA outlined that Jaevee Homes initially approached Fincham Demolition in early 2023 for work on a redevelopment project in Norwich.

Following discussions by email regarding pricing and scope, Fincham sent a quotation, but no formal contract was signed.

The decisive interaction occurred on 17 May 2023, when Fincham sent a message via WhatsApp asking: “Are we saying it’s my job mate so I can start getting organised mate.” Ben James of Jaevee Homes responded: “Yes.”

Although Jaevee Homes subsequently issued a written subcontract and purchase order, these documents were not signed or acknowledged by Fincham.

As demolition works progressed, the working relationship broke down.

Fincham submitted four payment applications in June, which Jaevee Homes argued were invalid under their interpretation of a monthly payment agreement.

Jaevee insisted the unsigned subcontract governed the relationship, while Fincham maintained that the agreement was based on the WhatsApp messages.

Court confirms contract was formed via WhatsApp

The High Court found that the WhatsApp messages included the core elements needed to create a contract.

According to the judgement, these included offer and acceptance, consideration (payment), intention to form legal relations and sufficient certainty in terms.

BESA reported that the court placed emphasis on the clarity of the initial WhatsApp exchange.

It stated that the absence of formal documents or a signature did not prevent the creation of a legally binding construction contract.

This was because the communications demonstrated agreement on scope, price and the parties’ intentions to proceed.

The court also upheld that the invoices submitted by Fincham were valid payment notices under the contract formed on 17 May 2023.

Implications for digital communication in construction contracting

BESA advised its members that the ruling is a reminder of the legal risks associated with informal communications.

While the use of digital platforms such as WhatsApp, SMS or email is common in commercial settings, these channels can unintentionally formalise agreements if care is not taken.

The association stated that even brief, casual conversations may bind businesses to contractual terms if they include key contractual elements.

It noted that contractors should follow up informal messages with a written document that clearly outlines the agreement and overrides previous communications where necessary.

BESA warned that other emerging risks – including the use of disappearing messages, voice notes or AI-generated texts – may also carry legal consequences, depending on how courts interpret these formats.

Legal guidance from BESA for construction businesses

BESA has issued practical guidance to support its members in navigating this issue.

The association recommends that construction businesses document agreements in writing after any informal negotiation.

It also advised firms to review how digital platforms are used internally and externally, and to consider setting policies that clarify acceptable channels for key project communications.

AEI Cables has reported an increase in demand for Category 3 Control fire performance cables following recent changes to legislation in the United Kingdom.

It said the revised guidance is designed to reduce the release of harmful smoke, toxic gases and the spread of flame during a fire.

The company noted that its Firetec Enhanced cables are approved and certified by LPCB for both Category 2 and Category 3 Control under BS8519 Annex B.

BS8519 outlines six categories of fire-resistant cables, with three relating to power cables and three to control cables.

Payment performance and pre-qualification in focus as Build UK marks 10 years

Build UK’s chief executive has said that payment performance and industry standards have improved during the trade body’s first decade.

According to the Building Engineering Services Association (BESA), Suzannah Nichol made the comments during a recent edition of the Behind the Built Environment podcast, hosted by BESA chief executive David Frise.

The podcast episode covered progress on average payment times, pre-qualification schemes, and construction competence since Build UK was launched in 2015.

Payment terms shorten and transparency improves

The Building Engineering Services Association reported that Build UK contractor members have reduced average payment terms from 45 days to 29 since benchmarking began.

Suzannah Nichol said: “We improved payment metrics…when we started benchmarking them. Transparency is key, when you put things in a league table, it starts to drive different behaviours.”

Nichol added that government enforcement of payment performance is increasing. Under current requirements, contractors must now pay 95% of invoices within 60 days to continue receiving public sector contracts.

She noted a shift in the tone of payment discussions since Build UK was founded: “They were very adversarial and now they’re much less combative.”

Retentions and refusal to work with late payers

According to the podcast, new reporting on retentions will soon be introduced. Companies will be required to disclose how much they are withholding.

Nichol said: “Then we’ll see where the money is sticking.”

She encouraged businesses to stop working with late payers: “I know it’s brave to say I’m not going to work for you, but at some point that is a business decision you make to work for somebody who is going to pay you or isn’t going to pay you. And we make it easy because we show you exactly what their payment terms are.”

Nichol told the podcast that BESA members “had more power to their elbow” than they may realise.

Pre-qualification scheme simplifies access

Nichol said Build UK introduced the Common Assessment Standard (CAS) to simplify pre-qualification, replacing 21 different schemes used in 2015.

She explained this has helped contractors prepare for compliance under the Building Safety Act.

She acknowledged however that many contractors still face challenges understanding their duties under the new legislation.

Nichol said: “I’m used to reading legislation, I understand hopefully quite a bit of this, and it [still] hurts my brain just trying to understand what the requirements are, what that looks like, how do you deliver it?”

She questioned the impact of long technical documents on the industry: “Why we think writing 90-page reports and giving [industry members] complicated legislation is going to change behaviour I’ve honestly got no idea.”

Addressing skills shortages through mentoring and training

Nichol told the podcast that skills development was a key area of work during Build UK’s first ten years.

She highlighted the ‘Open Doors’ programme as one of its top achievements.

She said: “We have so many jobs in construction that we find it difficult to explain in a 30-minute careers talk. And we know from our research that 88% of our visitors [to a site opened up to school, college and community groups] would then consider a career in construction.”

Nichol added that older workers should be supported to transition into teaching roles.

She said: “They’ve got to be the best people to inspire that next generation…by teaching the skills they have and talking about all the best parts of their work.”

According to BESA, its new Skills Legacy programme is intended to help address this issue.

The trade body said the scheme will train experienced engineers to become assessors, building safety auditors, and trainers.

The programme aims to place 100 engineers, with The Manly Trust funding the first 50 positions.

NEBOSH construction qualification backed by 90% of learners in latest survey

Construction sector saw 51 deaths in Great Britain in 2023/4

A recent NEBOSH survey has reported that 90% of learners would recommend its Health and Safety Management for Construction qualification.

The survey findings relate to one of the highest-risk sectors in the UK, with the Health and Safety Executive reporting 51 construction-related fatalities in Great Britain during the 2023/4 period. This represents 37% of all workplace deaths in that year.

The qualification is available in two versions: a UK variant aligned with the Construction (Design and Management) Regulations and an international version based on International Labour Organization guidance.

Learners report improved hazard identification

NEBOSH said the majority of respondents indicated the training helped them improve their ability to recognise and assess hazards on construction sites.

In the 2024 survey, 94% of UK respondents and 100% of international respondents said their ability to identify risks had improved after completing the course.

The organisation explained that the training aims to help learners develop systems of work, take part in incident investigations, and manage contractor relationships more effectively.

Qualification revised for 2025 to reflect industry feedback

According to NEBOSH, the qualification has been updated for 2025 following learner input and guidance from construction safety professionals.

The refreshed syllabus includes new topics such as fatigue and inspectors’ enforcement powers, which the organisation said were included to reflect ongoing safety challenges in the sector.

NEBOSH stated that learners are also trained to influence safety culture and challenge unsafe behaviours in the workplace.

UK course recognised by national construction safety scheme

NEBOSH confirmed that the UK version of the qualification remains recognised by the Construction Skills Certification Scheme (CSCS).

It noted that those who complete the course are eligible to apply for the CSCS Academically Qualified Person card.

The qualification is categorised as a Level 7 under the Scottish Credit and Qualifications Framework.

Learners describe training as relevant and in-depth

EU Construction Products Regulation 2024/3110: What it means for CE marking and fire safety

EU CPR 2024/3110 enters into force with delayed implementation

Euralarm has reported that the revised EU Construction Products Regulation (EU CPR 2024/3110) officially came into effect on 7 January 2025.

Despite its adoption, the changes do not yet affect CE marking or EU declarations of conformity for manufacturers, including those in the fire safety sector.

Until new harmonised technical specifications are developed and adopted, manufacturers will continue to comply with the existing harmonised standards.

This status quo is expected to continue for several years.

According to Euralarm, its members will play an active role in shaping the forthcoming standardisation request that will inform future updates.

Changes to product compliance and environmental reporting requirements

The updated EU CPR introduces future obligations aimed at aligning construction product regulations with broader environmental and digital goals.

These include the introduction of a Digital Product Passport and mandatory Environmental Product Declarations (EPDs).

EPDs will measure the environmental impact of products throughout their lifecycle, from production to raw material recovery.

A combined Declaration of Performance and Conformity will also be introduced, integrating compliance, safety and environmental criteria into a single document.

Euralarm stated that these changes aim to improve transparency and traceability in the construction product supply chain.

Euralarm involvement in the transition period

Euralarm confirmed that it remains committed to supporting its members throughout the transition.

The organisation said its members will contribute to the development of new harmonised standards and the implementation of the revised regulation.

Euralarm stated: “Until the new harmonized technical specifications based on the new standardization request are developed and adopted, the current harmonized standards continue to apply.”

The organisation also noted that while the regulation is now in force, no immediate compliance changes are required by manufacturers.

Euralarm represents national associations and companies across Europe involved in fire and security systems.

The organisation was founded in 1970 and represents over 5,000 companies with a combined market value of 67 billion euros.

Its members provide systems and services for fire detection and extinguishing, intrusion detection, access control, video monitoring, alarm transmission and alarm receiving.

Collaboration enhances fire safety in UK’s Queens Drive housing development

Passive fire safety focus in Swindon housing scheme

Quelfire has reported its involvement in the Queens Drive regeneration project in Swindon, which has delivered 149 affordable homes.

The £36 million project, led by Swindon Borough Council, aimed to address the town’s social housing needs while incorporating sustainable and safety-led design elements.

A key example of collaboration

The Queens Drive regeneration project has been a welcomed initiative of Swindon Borough Council.

Addressing the town’s social housing needs, this project has created 149 affordable homes that will act as a gateway to the town, providing a more welcoming drive into the town centre.

This £36 million project has been designed to reflect Swindon’s railway heritage.

The houses have solar panels, triple-glazed windows, dozens of bird boxes, and trees planted to encourage wildlife growth.

The LABC (Local Authority Building Control) recognised Queens Drive in the National Building Excellence Awards as the best large social housing development.

As the chosen passive fire protection system manufacturer, Quelfire worked alongside Willmott Dixon and Fire Shield to deliver this project.

The main objective was to design and build the homes around the tested details available, creating a safe community for residents to reside in.

During this project, what was the main challenge?

Queens Drive’s main challenge was utilising service penetration types that had limited industry-wide testing, such as electrical socket boxes in conjunction with the innovative Beadmaster product.

What solutions did quelfire reach to resolve any issues?

The key to Queens Drive’s smooth completion was the involvement of the Willmott Dixon design team, which proactively designed and planned the build, ensuring service penetration sealing was a priority.

Acknowledging that early engagement has been crucial in past projects, Willmott Dixon and Fire Shield initiated this approach right from the early stages.

This ensured that Quelfire addressed any service penetration sealing concerns during the design process, guaranteeing that relevant, tested solutions were identified, and grey areas were avoided.

Because of the time Quelfire gained from the early collaboration, in the case of no tested solutions for electrical socket boxes with Beadmaster, they were able to add this to their testing programme upon request from Willmott Dixon.

Because of this scenario-specific testing, Quelfire were able to provide Queens Drive and the wider industry with primary test evidence, as opposed to an engineered judgement.

What kind of success did the client enjoy with quelfire’s services/products?

Through Quelfire’s early engagement and shared commitment to the project’s success, the project was able to reach a robust and compliant design, resulting in minimal issues and rework during the build stage and, ultimately, no extra costs.
